These Terms and Conditions of Use and Sale (“Terms”) govern your access to and use of the Great Basin Seed website, including greatbasinseeds.com and/or greatbasinseed.com, and any purchases made through the website.
The terms “Great Basin Seed,” “we,” “us,” and “our” refer to Great Basin Seed. The terms “you” and “your” refer to any person or organization accessing the website, creating an account, requesting information, or purchasing products from Great Basin Seed.
By accessing or using this website, creating an account, submitting an order, or clicking to accept these Terms, you agree to be bound by these Terms and all policies incorporated into them. If you do not agree, do not use the website or place an order.
These Terms contain important limitations of warranties and liability, an exclusive remedy for certain seed-related claims, and a Notice of Required Arbitration under the seed laws of certain states. Please read them carefully.
1. Eligibility and Authority
You must be at least 18 years old or the legal age of majority in your jurisdiction to make a purchase through the website.
When placing an order on behalf of a business, government agency, farm, ranch, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
2. Changes to These Terms
Great Basin Seed may revise these Terms from time to time by posting an updated version on this page. Changes will become effective on the date shown at the top of the updated Terms unless a later date is stated.
Your continued use of the website after updated Terms are posted constitutes your acceptance of the changes. Changes will not ordinarily apply retroactively to orders already accepted unless required by law.
3. Privacy
Your use of the website is also governed by the Great Basin Seed Privacy Policy, which describes how we collect, use, store, and disclose personal information.
When you place an order, we may collect information necessary to process payment, calculate taxes, prevent fraud, fulfill and ship your order, provide customer service, and comply with legal obligations.
4. Website Access and Acceptable Use
Great Basin Seed grants you a limited, revocable, nonexclusive, and nontransferable right to access and use the website for personal or legitimate business purchasing purposes.
You may not:
- Use the website for an unlawful, fraudulent, harmful, or deceptive purpose.

- Use Great Basin Seed trademarks, product names, images, or content in a way that creates confusion regarding sponsorship, endorsement, or affiliation.
- Great Basin Seed may restrict, suspend, or terminate website access when we reasonably believe these Terms have been violated.
5. Accounts and Account Security
Certain website features may require an account. You agree to provide accurate, current, and complete information and to update that information when it changes.
You are responsible for maintaining the confidentiality of your username and password and for activity conducted through your account. Notify Great Basin Seed promptly if you believe your account has been accessed or used without authorization.
We may suspend or close accounts containing inaccurate information, associated with suspected fraud, or used in violation of these Terms.
6. Intellectual Property
The website and its contents, including text, product descriptions, planting information, photographs, illustrations, videos, graphics, logos, icons, page designs, software, and downloadable materials, are owned by or licensed to Great Basin Seed and are protected by applicable intellectual-property laws.
No ownership interest is transferred to you through your use of the website. Except for reasonable personal or internal business use, website content may not be reproduced, modified, distributed, displayed, transmitted, licensed, sold, or used to create derivative works without prior written permission from Great Basin Seed.
“Great Basin Seed,” associated logos, product names, and other brand identifiers are trademarks or trade dress of Great Basin Seed. They may not be used without prior written authorization.
7. Product Information and Seed Labels
Great Basin Seed makes reasonable efforts to present accurate product descriptions, photographs, ingredients, species lists, planting rates, germination information, pricing, availability, and other information.
Nevertheless:
- Product photographs are illustrative and may not show the exact seed lot received.
- Seed is an agricultural product, and natural differences in color, size, appearance, origin, crop year, and lot characteristics may occur.
- Product availability and seed lots may change without notice.
- Typographical, technical, pricing, and product-description errors may occasionally occur.
- Recommendations and planting rates may need to be adjusted for local climate, precipitation, soil, elevation, intended use, planting method, and site conditions.
The seed label, tag, analysis, treatment notice, and other information accompanying the product should be reviewed before the package is opened or the seed is planted. When a general website description conflicts with the legally required information on a seed label or tag, the label or tag controls.
Contact Great Basin Seed before opening or planting the product if the variety, species, mixture, treatment, quantity, or other label information appears different from what was ordered.
8. Agricultural and Regulatory Compliance
Seed may be subject to federal, state, tribal, county, or local restrictions. Certain species, varieties, treatments, or products may not be available for shipment to every location.
Great Basin Seed may refuse, restrict, modify, or cancel an order when reasonably necessary to comply with applicable seed laws, noxious-weed rules, quarantine restrictions, transportation requirements, or other legal obligations.
You are responsible for determining whether the product is suitable and lawful for your intended location and use, including obtaining permits or approvals that may be required of the purchaser or landowner.
Unless expressly stated otherwise on the product label, Great Basin Seed products are sold as planting seeds and are not intended for human consumption.
9. Planting Information and No Guarantee of Establishment
Planting instructions, calculators, articles, product recommendations, customer-service guidance, and other information provided by Great Basin Seed are general educational resources. They do not replace site-specific advice from an agronomist, extension specialist, crop adviser, reclamation professional, veterinarian, or other qualified professional.
Seed establishment and plant performance depend on numerous conditions outside Great Basin Seed’s control, including:
- Soil preparation and fertility.
- Soil pH, salinity, drainage, compaction, and herbicide carryover.
- Planting date, depth, rate, and method.
- Irrigation, precipitation, temperature, and weather.
- Storage and handling after delivery.
- Weeds, pests, disease, livestock, wildlife, and environmental conditions.
- The purchaser’s equipment, maintenance, and management practices.
Great Basin Seed does not guarantee establishment, stand density, flowering, yield, forage production, crop quality, color, coverage, persistence, or any particular result unless a separate written guarantee is expressly provided by Great Basin Seed.
10. Orders and Acceptance
Submitting an order constitutes an offer to purchase. An automated order confirmation acknowledges receipt of the order but does not necessarily mean the order has been accepted.
Great Basin Seed may accept, reject, limit, place on hold, or cancel an order for reasons including:
- Product or seed-lot unavailability.
- Pricing, description, or inventory errors.
- Suspected fraud or unauthorized payment.
- Shipping or regulatory restrictions.
- An incorrect shipping address.
- Circumstances affecting our ability to fulfill the order.
- A violation of these Terms.
If payment has been collected for an order that we cancel, the amount collected for the canceled portion will be refunded to the original payment method.
Custom seed mixtures, special orders, wholesale purchases, dealer orders, quotes, invoices, and purchase orders may be subject to additional written terms. When additional written terms directly conflict with these Terms, the more specific terms will control for that transaction.
11. Pricing, Payment and Taxes
Prices are displayed in U.S. dollars unless otherwise stated. Prices, promotions, discounts, shipping offers, and availability may change without notice.
You agree to pay the price, shipping charges, taxes, fees, and other amounts shown at checkout or included in an accepted quote or invoice.
Great Basin Seed may correct an obvious pricing or calculation error before shipment. If an error materially changes the order total, we may contact you for approval or cancel and refund the affected item.
You represent that you are authorized to use the payment method submitted with your order. Payment processing may be performed by third-party payment providers subject to their own terms and privacy practices.
12. Shipping, Delivery and Risk of Loss
Orders are shipped in accordance with the Great Basin Seed Shipping Policy and the shipping terms displayed during checkout.
Processing and delivery dates are estimates and are not guaranteed. Great Basin Seed is not responsible for delays caused by carriers, weather, natural disasters, labor disruptions, government action, incorrect addresses, inaccessible delivery locations, or other circumstances outside our reasonable control.
Inspect the shipment promptly after delivery. Report missing products, visibly damaged packages, incorrect items, or material discrepancies to Great Basin Seed as soon as reasonably possible. Retain the packaging, shipping label, seed tag, photographs, and other documentation that may be needed to evaluate a claim.
To the extent permitted by applicable law, title and risk of loss pass to the purchaser when the shipment is tendered to the carrier. Nothing in this section limits rights that cannot legally be waived.
13. Returns, Refunds and Order Adjustments
Returns, refunds, replacements, credits, and order adjustments are subject to any return or refund policy posted on the website or provided in writing at the time of sale.
Contact Great Basin Seed before returning a product. Returns made without prior authorization may be refused.
Because seed is a biological agricultural product and maintaining lot identity and proper storage is important, seed that has been opened, planted, contaminated, commingled, exposed to moisture, improperly stored, or removed from its original labeled packaging may not be eligible for return except where required by law.
Custom mixtures, special-order products, treated seed, clearance products, and products specifically identified as nonreturnable may not be eligible for return.
14. Notice and Arbitration

NOTICE OF REQUIRED ARBITRATION
Under the seed laws of some states, arbitration is required as a precondition to maintaining certain legal actions, counterclaims, or defenses against a seller of seed.
Where applicable, the buyer must file a complaint, together with any required filing fee, within the time prescribed by the applicable state seed law. The complaint must be filed early enough to permit inspection of the crop, plants, or trees.

Requirements, filing deadlines, filing locations, fees, and procedures vary by state. The purchaser is responsible for complying with the arbitration requirements applicable in the state where the seed is planted.
Exclusion of Warranties and Limitation of Damages and Remedy
Great Basin Seed warrants that seed labeled by Great Basin Seed conforms to the description on the label as required by applicable federal and state seed laws.
GREAT BASIN SEED MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, CROP PERFORMANCE, YIELD, ESTABLISHMENT, OR OTHERWISE, CONCERNING THE PERFORMANCE OF THE SEED.
To the maximum extent permitted by law, liability for damages arising from any cause, including breach of contract, breach of warranty, negligence, strict liability, misrepresentation, or any other legal theory relating to the sale or performance of seed, is limited to a refund of the purchase price paid for the affected seed.
THIS REMEDY IS EXCLUSIVE.
IN NO EVENT SHALL GREAT BASIN SEED BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS.
15. Disclaimer of Website Warranties
To the maximum extent permitted by law, the website and all website content are provided “as is,” “as available,” and “with all faults.”
Great Basin Seed does not represent or warrant that:
- The website will always be available, uninterrupted, secure, or error-free.
- Website information will always be complete, current, or free of typographical errors.
- Defects will always be corrected immediately.
- The website or its servers will be free from viruses or other harmful components.
- Information obtained through the website will produce a particular agricultural, financial, or commercial result.
Your use of the website is at your own risk.
16. General Limitation of Liability
Except for seed claims specifically addressed in the Notice and Arbitration section, and to the maximum extent permitted by law, Great Basin Seed will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from:
- Your access to or inability to access the website.
- Your reliance on website information.
- Unauthorized access to an account or data.
- A third-party website, service, payment processor, carrier, or platform.
- The purchase, use, misuse, storage, planting, or performance of a product.
For claims not governed by the seed-specific exclusive remedy, Great Basin Seed’s total aggregate liability will not exceed the amount you paid to Great Basin Seed for the product or order giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
17. Third-Party Websites and Services
The website may contain links to third-party websites, videos, services, payment processors, shipping carriers, social-media platforms, or other resources.
Great Basin Seed does not control and is not responsible for third-party content, availability, security, privacy practices, products, or services. A link does not necessarily constitute an endorsement.
Your interactions with third parties are governed by the terms and policies of those third parties.
18. Reviews, Photographs and Other Submissions
When you submit a review, photograph, testimonial, comment, question, planting result, or other material to Great Basin Seed, you represent that:
- You own the material or have permission to submit it.
- The material is accurate to the best of your knowledge.
- The material does not infringe another person’s rights.
- The material is not unlawful, threatening, defamatory, obscene, fraudulent, or misleading.
You grant Great Basin Seed a worldwide, nonexclusive, royalty-free, transferable, sublicensable license to use, reproduce, edit, publish, display, distribute, and create derivative works from the submission in connection with Great Basin Seed’s business, website, advertising, social media, catalogs, and promotional materials.
Great Basin Seed may remove or decline to publish a submission at its discretion.
19. Electronic Communications and Notices
By using the website or providing an email address, you consent to receive transactional communications electronically, including order confirmations, invoices, shipping notices, account notices, policy updates, and customer-service messages.
Electronic notices are considered received when sent to the email address associated with your account or order, subject to applicable law.
Marketing emails are governed by the choices and unsubscribe options provided in those communications.
20. Mobile Message Service Terms
By opting into Great Basin Seed’s SMS or text-messaging service, you agree to receive recurring service-related and promotional messages at the mobile number you provided.
Service messages may include order updates, shipping information, account alerts, and customer-service communications. Promotional messages may include sales, discounts, product announcements, special offers, and cart reminders.
Consent to receive marketing text messages is voluntary and is not a condition of purchasing any product or service. Message frequency varies. Message and data rates may apply.
You may opt out at any time. For assistance, contact hello@greatbasinseed.com.
After submitting a valid opt-out request, you may receive one final message confirming the opt-out. Wireless carriers are not responsible for delayed or undelivered messages.
If Great Basin Seed changes the number used for the service, we may notify subscribers of the new number. Requests sent to a discontinued number may not be received.
21. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Great Basin Seed and its owners, employees, representatives, contractors, and service providers from third-party claims, damages, losses, liabilities, judgments, and reasonable expenses arising from:
- Your unlawful or unauthorized use of the website.
- Your violation of these Terms.
- Your violation of another person’s rights.
- Content or materials you submit.
- Your handling, resale, relabeling, planting, application, or misuse of products contrary to their labels, instructions, or applicable law.
This section does not require indemnification for conduct for which indemnification is prohibited by law.
22. Suspension and Termination
Great Basin Seed may suspend or terminate your access to the website or cancel an account if you violate these Terms, engage in suspected fraud, misuse website features, threaten website security, or act unlawfully.
Provisions that by their nature should survive termination—including intellectual-property provisions, warranty disclaimers, liability limitations, indemnification, dispute provisions, and payment obligations—will remain effective.
23. Governing Law and Venue
Except where applicable seed laws require arbitration or another procedure, these Terms and transactions with Great Basin Seed will be governed by the laws of the State of Utah, without regard to conflict-of-law principles.
To the extent a dispute may properly be resolved in court, you consent to the personal jurisdiction of the state courts located in Sanpete County, Utah, and the federal courts serving the State of Utah.
Nothing in this section waives any non-waivable consumer right or state seed-law procedure.
24. Events Beyond Our Control
Great Basin Seed will not be responsible for a failure or delay caused by circumstances beyond its reasonable control, including severe weather, drought, wildfire, flood, natural disaster, crop failure, seed shortage, epidemic, labor disruption, carrier interruption, equipment failure, cyberattack, government action, embargo, quarantine, or changes in law.
This section does not excuse payment obligations for products already delivered.
25. Severability, Waiver and Assignment
If a provision of these Terms is found invalid or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.
A failure by Great Basin Seed to enforce a provision does not waive the right to enforce it later.
You may not assign your rights or obligations under these Terms without written permission from Great Basin Seed. Great Basin Seed may assign its rights and obligations in connection with a merger, reorganization, sale of assets, or other business transaction.
26. Entire Agreement
These Terms, together with the Privacy Policy, Shipping Policy, product-specific terms, and any accepted quote, invoice, or written agreement, constitute the entire agreement concerning your use of the website and purchases from Great Basin Seed.
